In these Terms of Service, unless the context otherwise requires, the following definitions shall apply: "Services" refers to all business consultancy, company formation, corporate structuring, visa processing assistance, bank account opening support, PRO services, accounting, VAT registration, and any other professional services offered by Incorporate UAE. "Website" means incorporate.ae, including all subdomains, web pages, and digital platforms operated by Incorporate UAE. "Agreement" means these Terms of Service together with any service-specific agreements, proposals, or engagement letters executed between the parties. "Applicable Laws" means all laws, regulations, directives, and guidelines of the United Arab Emirates, including but not limited to federal laws, emirate-level regulations, free zone authority rules, and international treaties applicable to the UAE.
"Confidential Information" includes all non-public information disclosed by either party, including business plans, financial data, personal documents, trade secrets, client lists, pricing structures, and proprietary methodologies. "Force Majeure" means any event beyond the reasonable control of either party, including but not limited to acts of God, natural disasters, war, terrorism, government actions, regulatory changes, pandemic, epidemic, strikes, or failure of third-party systems. "Intellectual Property" includes all patents, trademarks, trade names, service marks, copyrights, trade secrets, know-how, and all other proprietary rights owned or licensed by Incorporate UAE.

3. Client Obligations and Responsibilities
As a client of Incorporate UAE, you acknowledge and agree to the following obligations and responsibilities that are essential for the successful delivery of our services:
- Provision of Accurate Information: You shall provide complete, accurate, and truthful information for all service requests, applications, and documentation. Any misrepresentation, falsification, or omission of material information may result in service termination, application rejection by authorities, and potential legal consequences.
- Timely Document Submission: You shall submit all required documents, signatures, and approvals within the timeframes specified by our team. Delays in document submission may result in processing delays, additional government fees, and potential application expiration.
- Compliance with Applicable Laws: You shall ensure that your intended business activities, corporate structure, and operations comply with all applicable UAE laws, free zone regulations, and international sanctions regimes. We reserve the right to decline services for activities we reasonably believe to be unlawful or unethical.
- Payment Obligations: You shall pay all fees and charges in accordance with the payment terms specified in your service agreement or proposal. Late payments may result in service suspension, additional charges, and potential termination of engagement.
- Communication and Responsiveness: You shall maintain open communication channels and respond to our inquiries within reasonable timeframes. Prolonged unresponsiveness may result in application delays and potential file closure.
- Document Authenticity: You warrant that all documents provided are genuine, validly issued, and have not been altered, forged, or fraudulently obtained. You shall ensure all foreign documents are properly attested as required by UAE regulations.
4. Fees, Payment Terms, and Refund Policy
Our fee structure is designed to be transparent and competitive. All fees are quoted in United Arab Emirates Dirhams (AED) unless otherwise specified. Our quotations include detailed breakdowns of consultancy fees, government fees, third-party costs, and any applicable taxes or levies.
- Consultancy Fees: Our professional service fees compensate our team for expertise, time, effort, and resources dedicated to your project. These fees are earned upon commencement of services and are generally non-refundable once work has begun.
- Government Fees: All government fees, authority charges, and regulatory levies are collected on behalf of the respective authorities and are non-refundable. These fees are subject to change by the authorities without prior notice, and any increases will be communicated promptly.
- Third-Party Costs: Expenses incurred for third-party services such as document attestation, translation, courier, typing centers, and external professional fees are non-refundable once incurred.
- Payment Schedule: Unless otherwise agreed, payments are typically structured as follows: an initial deposit upon engagement, progress payments at key milestones, and final payment upon project completion.
- Refund Eligibility: Refund requests are evaluated on a case-by-case basis. Refunds may be considered for services not yet commenced, subject to a reasonable administrative fee. No refunds will be issued for government fees paid, third-party costs incurred, or consultancy fees for work already performed.
In the event of application rejection by government authorities due to factors within our reasonable control, we will work diligently to address the issues and resubmit at no additional consultancy cost. Rejections due to client-provided information, documentation issues, or factors outside our control may require additional fees for resubmission.
5. Intellectual Property Rights
All intellectual property rights associated with our website, services, methodologies, and deliverables are governed by this section. Understanding these rights is essential for both parties' protection.
5.1 Our Intellectual Property
Incorporate UAE retains all ownership rights to our website content, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the selection and arrangement thereof. - Confidentiality Commitment: All information shared by clients in the course of our engagement is treated as strictly confidential. We implement robust security measures, access controls, and staff training to protect client information from unauthorized access, disclosure, or misuse.
- Limited Disclosure: We may disclose client information only when required by law, court order, or regulatory authority; when necessary to provide contracted services (e.g., submission to government departments); with your explicit consent; or to our professional advisors bound by confidentiality obligations.
- Data Retention: We retain client data for the period necessary to fulfill our service obligations and comply with legal and regulatory requirements. Our total aggregate liability for any claims arising from our services shall not exceed the fees actually paid by you for the specific service giving rise to the claim.
7.2 No Guarantees
While we apply our best efforts and expertise to achieve successful outcomes, we do not guarantee approval of any application, license, visa, or bank account. Government authorities and financial institutions retain sole discretion over approval decisions. Our role is to prepare applications professionally, ensure documentation completeness, and advocate on your behalf, but final decisions rest with the respective authorities.
8. Indemnification
You agree to indemnify, defend, and hold harmless Incorporate UAE, its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: your breach of these Terms of Service; your violation of any applicable law or regulation; your provision of inaccurate, incomplete, or fraudulent information; your infringement of any third-party rights; your business activities conducted using licenses or entities established with our assistance; or any dispute between you and any third party.
This indemnification obligation shall survive the termination of our engagement and these Terms of Service.
9. Term, Termination, and Suspension
The term of our engagement commences upon your acceptance of a service proposal or engagement letter and continues until the completion of contracted services or earlier termination as provided herein.
- Termination by Client: You may terminate our engagement by providing written notice. Upon termination, you remain liable for all fees for services rendered up to the termination date, government fees paid, and third-party costs incurred. No refunds will be issued for non-refundable fees.
- Termination by Us: We reserve the right to terminate or suspend our engagement immediately if: you breach these Terms of Service; you fail to make timely payments; you provide false or misleading information; we reasonably believe your intended activities are unlawful; or continuation of services would expose us to legal, regulatory, or reputational risk.
- Effect of Termination: Upon termination, we will provide you with copies of documents and work product completed up to the termination date, subject to payment of all outstanding fees. Our confidentiality obligations and your indemnification obligations survive termination.
- Suspension: We may suspend services pending resolution of payment disputes, document deficiencies, or other material issues. Suspended accounts may be subject to reactivation fees.
10. Governing Law and Dispute Resolution
These Terms of Service and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without giving effect to any principles of conflicts of law.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiations within thirty (30) days, either party may submit the dispute to binding arbitration administered by the DIFC-LCIA Arbitration Centre in accordance with its rules then in effect.
The seat of arbitration shall be Dubai, UAE. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from courts of competent jurisdiction to prevent irreparable harm pending arbitration.
11. Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, earthquakes, floods, or severe weather events; war, armed conflict, terrorism, or civil unrest; government actions, sanctions, embargoes, or regulatory changes; pandemic, epidemic, or public health emergencies; strikes, labor disputes, or industrial action; failure of telecommunications, internet services, or power supply; or acts or omissions of third parties essential to service delivery. The affected party shall promptly notify the other party of the force majeure event and use reasonable efforts to mitigate its effects. If a force majeure event continues for more than sixty (60) days, either party may terminate the engagement without liability.

These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our services. No oral statements or prior written material not specifically incorporated herein shall be of any force or effect. In the event of any conflict between these Terms and a specific service agreement, the terms of the specific service agreement shall prevail to the extent of the conflict.
